Tax Obligations for Foreign-Owned Businesses in Armenia

Tax Obligations for Foreign-Owned Businesses in Armenia

Armenia, a burgeoning economic hub in the Caucasus, is becoming increasingly attractive to foreign investors and entrepreneurs. Its strategic location, favorable trade agreements, and relatively low operational costs provide a fertile ground for foreign-owned businesses. However, understanding and navigating the tax obligations in Armenia for 2025 is crucial for ensuring compliance and optimizing financial operations.

Overview of the Armenian Tax System

Armenia’s tax system is regulated by the Tax Code of the Republic of Armenia, which governs the obligations of individuals and businesses operating within its borders. The key taxes applicable to foreign-owned businesses include corporate income tax, value-added tax (VAT), personal income tax for employees, and social contributions.

Corporate Income Tax

Foreign-owned businesses are subject to a corporate income tax rate of 18%. The taxable base is calculated as the difference between total revenue and allowable expenses, including depreciation, salaries, and certain operational costs. Double taxation treaties with several countries allow businesses to benefit from reduced withholding tax rates or exemptions.

Value-Added Tax (VAT)

VAT in Armenia is levied at a standard rate of 20% on the supply of goods and services. Businesses exceeding a turnover threshold of 115 million AMD in a calendar year are required to register for VAT. Foreign-owned businesses providing goods or services within Armenia must also comply with VAT regulations.

Personal Income Tax and Social Contributions

Employees of foreign-owned businesses are subject to a flat personal income tax rate of 20%, as per the current Armenian tax legislation. Employers must also contribute to social security, amounting to approximately 2.5% of the employee’s gross salary. It is the employer’s responsibility to withhold and remit these taxes.

Special Tax Regimes for Foreign-Owned Businesses

Small Business Tax Regime

Foreign-owned businesses with annual revenue below 115 million AMD may qualify for the small business tax regime, subject to certain exclusions such as financial services and trade in excisable goods. Under this regime, businesses pay a simplified turnover tax instead of VAT and corporate income tax, ranging from 1.5% to 5% depending on the type of activity.

Free Economic Zones (FEZ)

Armenia has established Free Economic Zones that provide significant tax benefits to businesses operating within them. Companies in these zones are exempt from VAT, corporate income tax, property tax, and customs duties. This regime is particularly attractive for businesses engaged in manufacturing, export, and high-tech industries.

Withholding Taxes for Cross-Border Transactions

Foreign-owned businesses making payments to non-resident entities are subject to withholding taxes, including:

  • Dividends: 5% or 10% depending on the double taxation treaty.
  • Interest and Royalties: 10%.
  • Services: 20% for certain categories.

Double taxation treaties often reduce these rates. Ensuring proper documentation and compliance with treaty provisions is critical to avoid penalties.

IT-Related Benefits for Foreign-Owned Businesses

The Armenian government is actively promoting the IT and high-tech sectors with a range of tax incentives set to take effect in 2025. These include reduced turnover tax rates, lower income tax for IT professionals, and R&D incentives. These measures make Armenia an attractive destination for tech startups and foreign investors looking to capitalize on the growing digital economy.
