Can a Foreigner Start a Business in Armenia?

Can a Foreigner Start a Business in Armenia?

Armenia has one of the most open foreign investment regimes in the region, allowing 100% foreign ownership in most sectors, simple company registration procedures, and relatively low taxes for small and medium-sized enterprises.

This guide explains the real steps, required documents, timeline, and legal requirements for foreigners starting a company in Armenia in 2026.

How to Register a Company in Armenia as a Foreigner: Step-by-Step

Below we walk through each stage of the company registration process in Armenia — from choosing the right business structure and preparing your documents to tax registration, opening a bank account, and obtaining residence status.

Choose Your Business Structure

The most common company types in Armenia are:

  • LLC (Limited Liability Company) – best for startups and SMEs
  • CJSC / OJSC – for larger investment projects
  • Sole entrepreneur – for small individual activity

Most foreign founders choose an LLC because it is simple, affordable, and flexible.

Required Documents

Typical documents for foreign founders:

  • Passport copy (notarized translation into Armenian)
  • Company name and the scope of the business activities
  • Legal address in Armenia
  • Director information
  • Charter (Articles of Association)
  • Decision of founder(s)
  • Minutes of meetings

Company Registration in Armenia

Company registration in Armenia is carried out through the State Registry of Legal Entities, which operates under a streamlined and largely digital procedure. For a standard LLC with properly prepared documents, registration is typically completed on the same day or within 2-3 business days. If the application contains technical errors or missing information, the process may extend up to approximately five business days while corrections are made.

During registration, the proposed company name is reviewed and approved, an official state registration number is issued, and the company’s tax identification number is generated automatically without requiring a separate tax filing. Once entered into the state register, the company becomes a fully recognized legal entity and may immediately begin entering into contracts and conducting business activity. Importantly, Armenian law does not require founders or shareholders to hold Armenian citizenship or residency status in order to establish or own a company.

Tax Registration and Choosing Tax Regime

After registration, you must choose a tax system.

Common tax regimes:

  • Micro‑business
  • Turnover tax
  • General taxation – 18% profit tax + 20% VAT (if applicable)

You must also:

• Register employees with the tax authority
• Obtain online tax reporting access
• Open a bank account

Migration & Residence

Owning a company does not automatically give residence rights.

If you plan to live in Armenia, you must apply for a residence permit. Business ownership can be used as a basis for temporary or permanent residence, depending on business activity and economic contribution — an area where legal services covering both company formation and immigration ensure the two processes are correctly sequenced and documented.

The only exceptions are people from EAUA, since they apply for the certificate of legal residence in Armenia:

Typical documents for residence based on business:

  • Passport (notary translation)
  • Application forms
  • Company registration certificate
  • Proof of business activity
  • Tax reports (may not be required)

Processing time: 40-50 days.

Opening a Bank Account

Opening a corporate bank account is a mandatory step after company registration, as you will need an active account to conduct transactions, pay taxes, receive payments, and manage operational expenses. Armenian banks apply standard compliance and anti-money laundering (AML) procedures, and foreign founders should be prepared for additional verification questions. While the process is generally straightforward, the review period depends on the bank’s internal compliance assessment and the nature of your business activity.

Banks may request:

  • Application forms (Such as application, FATCA)
  • Company registration documents (Charter, registration certificate, tax number)
  • Passport copies of shareholders and the director
  • A brief business plan or description of planned activity
  • Explanation and supporting documents regarding the source of funds

Foreign founders should realistically plan between one and two weeks for account approval, although in more complex cases, the compliance review may take longer.

Practical Tips, Costs, and Legal Questions Foreign Founders Ask

Do Foreigners Pay Higher Taxes?

No. Foreign‑owned companies pay the same taxes as Armenian‑owned companies. Armenia has double‑tax treaties with many countries to avoid double taxation.

Can a Foreigner Be the Director?

Yes. A foreign citizen can be the company director. However, a work permit or residence permit may be required depending on the duration of stay.

Can You Register a Company Remotely?

Yes. With a power of attorney, a law firm can register a company without the founder being physically present in Armenia — handling document preparation, notarization coordination, and State Registry submission on the founder’s behalf.

Common Mistakes Foreign Founders Make

  • Choosing the wrong tax regime
  • Not understanding residence rules
  • Using an incorrect company address
  • Ignoring accounting requirements

How Long Does the Whole Process Take?

Typical timeline:

  • Company registration – 1–2 working days (up to 5 working days)
  • Bank account – 3–10 days
  • Residence permit – 1–2 months
  • Full business setup – about 2–4 weeks.
