Terms of Service

Retrieve Legal & Tax  |  Effective: 1 June 2025

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the website www.retrieve.am and the services provided by Retrieve Legal & Tax CJSC, a company incorporated under the laws of the Republic of Armenia (“Retrieve,” “we,” “our,” or “us”).

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms apply to website visitors, prospective clients, and existing clients. Specific service engagements are governed by a separate Engagement Letter or Service Agreement, which supplements and may modify these Terms.

2. Services

2.1 Scope of Services

Retrieve provides legal, tax, corporate structuring, immigration, cross-border transaction advisory, and related professional services, primarily in connection with the Republic of Armenia, the European Union, and other jurisdictions where our team is qualified or engages correspondent counsel.

2.2 Website Information

The content on www.retrieve.am is provided for general informational purposes only. It does not constitute legal, tax, financial, or investment advice and does not create an attorney-client or advisor-client relationship. Laws and regulations change frequently; you should not rely on website content without obtaining specific professional advice.

2.3 No Guarantee of Outcome

We do not guarantee any particular result or outcome in connection with our services. All advisory and legal outcomes depend on facts, applicable law, regulatory discretion, and other factors beyond our control.

3. Client Engagements

3.1 Engagement Letter

A formal engagement commences only upon execution of a written Engagement Letter or Service Agreement, payment of any required retainer, and satisfactory completion of our AML/KYC onboarding procedures.

3.2 KYC and AML Compliance

In accordance with Armenian anti-money-laundering legislation, we are obligated to verify the identity of our clients and the beneficial owners of entities we represent. You agree to provide accurate and complete identification documents and information as requested. We reserve the right to decline or terminate an engagement if satisfactory KYC documentation is not provided.

3.3 Client Cooperation

You agree to provide timely, accurate, and complete information and documents necessary for us to perform our services. We are not liable for delays or adverse outcomes resulting from your failure to cooperate or from inaccurate information provided by you or on your behalf.

4. Fees and Payment

4.1 Fee Arrangements

Fees are set out in the applicable Engagement Letter and may be structured as fixed fees, hourly rates, retainers, success fees, or a combination thereof. Unless otherwise agreed, all fees are exclusive of applicable taxes.

4.2 Invoicing and Payment

Invoices are due within the period specified in the Engagement Letter. Late payments may be subject to interest at the rate specified therein or, in the absence of such specification, at the statutory commercial rate under Armenian law.

4.3 Disbursements

Disbursements incurred on your behalf (state fees, notary fees, translation costs, courier charges, etc.) will be charged in addition to professional fees and are payable upon presentation.

4.4 Retainers

Where a retainer is required, fees earned are applied against the retainer as work is performed. Any unused portion at the conclusion of an engagement will be returned to you, less any outstanding amounts owed.

5. Confidentiality

We are bound by professional confidentiality obligations and will not disclose confidential client information to third parties except: (i) with your consent; (ii) as required by law, court order, or regulatory authority; (iii) to the extent necessary to provide our services (e.g., to co-counsel or translators acting under equivalent confidentiality duties); or (iv) in connection with a dispute arising between us.

6. Intellectual Property

6.1 Our Content

All content on www.retrieve.am, including text, graphics, logos, and compilations, is owned by or licensed to Retrieve and is protected by intellectual property law. You may not reproduce, republish, or distribute our content without prior written consent.

6.2 Work Product

Legal opinions, memoranda, draft agreements, and other work product prepared for you in the course of an engagement remain subject to professional privilege. Upon full payment of fees, you receive a licence to use such work product for the purposes for which it was prepared. Retrieve retains the right to retain copies for professional record-keeping purposes.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

– Retrieve’s aggregate liability to you in connection with any single matter shall not exceed the total fees actually paid by you to Retrieve in connection with that matter in the twelve (12) months preceding the claim

– We shall not be liable for indirect, consequential, special, or punitive damages, loss of profits, or loss of data, even if advised of the possibility of such damages

– We are not liable for the acts or omissions of third parties, including correspondent counsel, government bodies, registries, or financial institutions

Nothing in these Terms limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Retrieve and its partners, employees, and agents from any claims, losses, damages, and expenses (including reasonable legal fees) arising from: (i) your breach of these Terms or any Engagement Letter; (ii) your provision of false or misleading information; or (iii) your violation of any applicable law or third-party rights.

9. Prohibited Uses

You agree not to use our website or services to:

– Engage in or facilitate money laundering, fraud, tax evasion, or any other unlawful activity

– Violate any applicable law, regulation, or third-party right

– Introduce malware, viruses, or other harmful code to our systems

– Harvest or scrape content from our website by automated means without our prior consent

10. Termination

10.1 By You

You may terminate an engagement at any time by written notice. You will remain liable for fees for services rendered and disbursements incurred up to the termination date.

10.2 By Retrieve

We may terminate an engagement, subject to applicable professional conduct rules, where: (i) you fail to pay fees when due; (ii) a conflict of interest arises; (iii) you provide false information or fail to cooperate; (iv) continued representation would require us to act contrary to law or professional obligations; or (v) the relationship of trust has broken down.

10.3 Effect of Termination

Termination does not affect accrued rights and obligations. Upon termination we will, subject to any lien for unpaid fees, return your documents and take reasonable steps to protect your interests.

11. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them, are governed by the laws of the Republic of Armenia.

Any dispute that cannot be resolved amicably shall be referred to the competent courts of Yerevan, Republic of Armenia, subject to mandatory provisions of applicable law that may require a different forum.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on our website with an updated effective date. Your continued use of our website or services following notice of changes constitutes acceptance of the revised Terms.

13. Miscellaneous

– Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.

– Entire Agreement: These Terms, together with any applicable Engagement Letter, constitute the entire agreement between the parties with respect to the subject matter herein.

– Waiver: Failure by Retrieve to enforce any right under these Terms does not constitute a waiver of that right.

– Language: In the event of a conflict between any translation of these Terms and the English-language version, the English version shall prevail.
