Opening an LLC in Armenia

Opening an LLC in Armenia

Establishing a Limited Liability Company (LLC) in Armenia remains one of the fastest and most efficient ways for both local and foreign entrepreneurs to launch a business in 2026. Armenia offers a business-friendly legal environment, no minimum share capital requirement, and a streamlined registration process that can often be completed within a single business day.

As the most widely adopted corporate structure in Armenia, an LLC offers flexibility, limited liability protection, and a simple governance model, making it a preferred option for startups, IT companies, service providers, and international investors entering the Armenian market. Businesses exploring alternative structures, such as a branch or representative office, can find a detailed comparison in our  Branch vs Representative Office vs Subsidiary in Armenia guide.

Step-by-Step Guide to Registering an LLC in Armenia

Step 1. Determine Your Company’s Key Details

Before the registration process begins, the founders must determine the essential details of the company, including:

  • Company name. The proposed name must be unique and available for registration in Armenia. Name availability can be verified through the State Unified Register at www.e-register.am.
  • Management structure. Every LLC must appoint an executive director who will act as the company’s legal representative.
  • Registered address. The company must have a legal address in Armenia for official correspondence and registration purposes.
  • Charter capital. Armenian legislation does not prescribe a minimum charter capital for LLCs, allowing founders to determine an amount that reflects the needs of the business.

If you are still deciding on the most suitable legal structure, our LLC vs. JSC in Armenia: Choosing the Right Structure guide explains the key differences between the two entities, including liability, corporate governance, taxation, and investment opportunities.

Step 2. Prepare the Documents

The required documents depend on whether the founders are individuals or legal entities. In most cases, the following documents must be prepared:

  • Passports or ID cards of all founders and the executive director (translated into Armenian and notarized), or, where a founder is a legal entity, its incorporation documents (also translated into Armenian and notarized);
  • The founder’s decision (for a sole founder) or the minutes of the founders’ meeting;
  • The company’s Charter (Articles of Association);
  • A power of attorney, if the application is submitted through a representative in Armenia (notarization is not required).

Our legal team prepares and reviews all registration documents to ensure compliance with Armenian corporate legislation before submission.

Step 3. Submit the Registration Application

An LLC may be registered either electronically or in person.

Online registration

Applicants holding an Armenian ID card and a valid digital signature may complete the entire registration process through the official electronic registration platform. Upon successful registration, the system automatically assigns the company’s registration number and Tax Identification Number (TIN).

In-person registration

Alternatively, the application may be submitted to the State Register of Legal Entities under the Ministry of Justice, where the original documents are reviewed and the company is registered.

Step 4. Registration Timeline and Costs

Registration timeframe

The registration period depends on the format of the submitted documents:

  • Registration is completed immediately when the statutory template documents provided by law (available only in Armenian) are used.
  • Registration is generally completed within two business days where the founders submit a customized charter or founders’ resolution, or where the documentation is provided in an accompanying language (English, Russian, or Chinese).

Registration costs

Armenian law does not impose any state registration fee for establishing a Limited Liability Company.

Step 5. Fulfil Post-Registration Requirements

Once the company has been incorporated, several mandatory compliance steps must be completed:

  • Register for the appropriate tax regime with the State Revenue Committee.
  • Submit information on the company’s Ultimate Beneficial Owners (UBOs) within 40 days of registration.
  • Open a corporate bank account. For a detailed overview of banking requirements and compliance procedures, see our Opening a Corporate Bank Account in Armenia guide.
  • Ensure ongoing compliance with Armenian accounting, tax, and reporting obligations, including monthly, quarterly, and annual filings, where applicable.
