- the reorganization of the company;
- the terms and conditions of the reorganization;
- the procedure for converting membership interests into shares;
- the transfer deed;
- the draft charter of the new Joint-Stock Company.

Step 2: Prepare the Transfer Deed
One of the key documents is the transfer deed.
The transfer deed identifies all assets, liabilities, contractual rights, obligations, claims, and other legal relationships that will pass to the newly established Joint-Stock Company.

Step 4: Hold the Founding Meeting of the JSC
The founders of the new Joint-Stock Company approve:
- the company’s charter;
- the corporate governance structure;
- the appointment of the executive body (director);
- the share capital;
- the number and nominal value of shares to be issued.
The participants’ membership interests in the LLC are converted into shares of the newly established company according to the conversion ratio approved during the reorganization.
Step 5: Register the Reorganization
The following documents are generally submitted to the State Register of Legal Entities:
- the LLC reorganization resolution;
- the founding resolution of the new Joint-Stock Company;
- the transfer deed;
- the new charter;
- the required application forms;
- proof of payment of the applicable state fees; and
- other supporting documents required by law.
The reorganization becomes legally effective upon state registration.
At that moment:
- the LLC ceases to exist as a separate legal entity;
- the Joint-Stock Company becomes its legal successor; and
- all assets, liabilities, contracts, rights, and obligations automatically transfer to the newly registered company.
Step 6: Register the Shares
Unlike an LLC, a Joint-Stock Company issues shares.
Following the registration of the company, the shares must be issued and recorded in accordance with Armenian securities legislation. The company must also ensure that its shareholder register is maintained in compliance with the applicable legal requirements.
How Long Does the Process Take?
The overall timeline usually depends on the complexity of the company’s structure and the preparation of the required documentation.
In practice, the entire process generally takes two to four weeks, including:
- preparation of corporate documents;
- execution of the required resolutions;
- creditor notifications;
- state registration;
- completion of post-registration formalities.
More complex corporate structures may require additional time.

- incomplete transfer deeds;
- incorrectly prepared corporate resolutions;
